Affiliate Agreement
This
affiliate agreement states the complete terms and conditions that
apply to an individual's or company's participation in the Outdoorplay
Affiliate Program (the "Program"). As used in this agreement, "we"
means Outdoorplay and "you" means the applicant.
1.
Enrollment Process
To
apply to the program, you will submit a completed program application
after reading this agreement and checking the box located at the
bottom of the application form that reads, "Yes, I have read the
agreement and agree to be bound by the terms and conditions of the
agreement".
2.
Linking Your Site With Outdoorplay
Using
the text links, buttons and banners we provide, you will choose
as many links as you desire to display so visitors to your site
are able to purchase products from Outdoorplay. You must ensure
that the links from your site to ours are properly formatted.
3.
Order Tracking
We
will track and process orders placed by customers who follow affiliate
links from your site to ours. We will also be responsible for handling
customer payments, cancellations, fulfillment of customer orders,
returns and related customer service. Customers who buy through
the Program will be deemed Outdoorplay customers. Selling prices
for Outdoorplay products will be set by Outdoorplay and may change
at any time. We cannot guarantee the availability or price of any
product. We may also refuse an order for any reason or no reason
at all.
4.
Referral Fees
For
a product sale to qualify for a commission the customer must follow
an affiliate link from your site to ours; purchase the product using
our online ordering system; accept shipping & handling charges and
applicable taxes; and remit full payment to us. The referral fee
of will be payable on net sales in monthly periods. Approximately
15 days following the end of each month we will send you a check
for the referral fees earned on Outdoorplay products that we have
received payment for during that month. However, if the commissions
payable to you for the month do not exceed $25.00, we will hold
your commissions until the total amount due exceeds $25.00. If a
product that generated a commission for you is returned we will
deduct the commission amount from your next monthly affiliate payment.
5.
Policies and Pricing
Customers
who purchase products through this program will be customers of
Outdoorplay. We may change our policies and operating procedures
at any time. Product prices and availability may vary; due to this,
you may not include product price or availability.
6.
Responsibility of Your Site
You
will be responsible for the development, operation and maintenance
of your site and for all items that appear on your site. Also, you
will not hold us responsible for any claims, damages or expenses.
7.
Terms of the Agreements
The
terms of this agreement will begin upon registration and will end
when terminated by you or us. We may terminate this Agreement with
or without cause at any time. You are eligible only to earn commissions
on sales of qualifying products occurring during the term. Payment
will be made on any outstanding balances after termination also.
Commissions earned through the date of termination will remain payable
if the order is shipped to the customer and not returned.
8.
Modifications
We
may modify any of the terms and conditions within this agreement
at any time in our sole discretion. Modifications may include Program
rules, commission amounts, payment procedures, etc.
9.
Limitation of Liability
We
shall not be liable or any indirect or direct damages or any losses
in connection with this Program.
10.
Disclaimers
We
make no expression or implied warranties or representations with
respect to the Program or any products sold through the Program
including, without limitation, warranties of fitness, merchantability,
noninfringment. In addition, we make no representation that the
operation of our site will be uninterrupted or error-free, and we
will not be liable for the consequences of any interruptions or
errors.
